1. Acceptance of Terms
By accessing and using ProdigyPilot, you agree to be bound by these Terms. If you do not agree to any portion of these Terms, you may not use our service. ProdigyPilot reserves the right to modify these Terms at any time. Continued use of the platform following changes constitutes acceptance of the updated Terms. We will provide notice of material changes via email or prominent notification on the platform.
2. Description of Service
ProdigyPilot provides a personal AI productivity advisor service that helps users automate tasks, optimize scheduling, track habits, and maintain focus. The service is provided on an "as-is" basis. We strive for accuracy and reliability but do not guarantee error-free operation. Features and functionality may change at our discretion. We reserve the right to suspend or discontinue any feature or service at any time.
3. User Accounts and Responsibilities
You must create an account to use certain features of ProdigyPilot. You are responsible for maintaining the confidentiality of your login credentials and are fully responsible for all activity that occurs under your account. You agree to provide accurate and complete information during registration and to update this information as needed. You are responsible for all communications sent from your account and for notifying us immediately of any unauthorized use of your account.
4. Acceptable Use Policy
You agree not to use ProdigyPilot for any unlawful purposes or in violation of these Terms. Prohibited conduct includes: transmitting malware, viruses, or harmful code; attempting to gain unauthorized access to our systems; interfering with service availability or security; uploading illegal or infringing content; harassing, threatening, or defaming others; and using automated tools to scrape or excessively access our platform without permission. Violation of this policy may result in account suspension or termination.
5. Intellectual Property Rights
ProdigyPilot and all associated content, including logos, designs, text, and functionality, are owned by ProdigyPilot or our licensors and are protected by copyright and intellectual property laws. Your license to use ProdigyPilot is limited to personal, non-commercial use. You may not copy, modify, distribute, or reproduce any portion of the service without express written permission. You retain ownership of content you create and upload, but grant ProdigyPilot a license to use it to provide the service.
6. Subscription Plans and Billing
ProdigyPilot offers various subscription tiers with different features and pricing. Subscriptions renew automatically unless canceled. You authorize us to charge the payment method on file for renewal subscriptions. Billing occurs at the beginning of each billing cycle. Subscription fees are non-refundable except as required by law. You can cancel your subscription at any time through your account settings, effective at the end of your current billing period. Price changes will be communicated in advance.
7. Disclaimers and Limitation of Liability
ProdigyPilot is provided "as-is" without warranties of any kind. We make no representations regarding accuracy, reliability, or completeness. ProdigyPilot is not liable for indirect, incidental, consequential, or punitive damages. Our total liability is limited to the amount you paid for the service in the past 12 months. Some jurisdictions do not allow limitation of liability, so this may not apply to you. Use of ProdigyPilot is at your own risk.
8. Termination
You may terminate your account at any time by contacting us or through your account settings. ProdigyPilot may terminate or suspend your account immediately for violations of these Terms or applicable law. Upon termination, your access to the service will cease, though data deletion may take up to 90 days. Sections regarding intellectual property, limitation of liability, and indemnification survive termination. Termination does not relieve you of obligations incurred before termination.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of California without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the federal and state courts located in San Francisco, California. You and ProdigyPilot agree to submit to arbitration for any disputes, with each party bearing its own costs. The arbitration shall be conducted by JAMS under its Streamlined Arbitration Rules. Either party may bring an action in court for injunctive relief related to intellectual property infringement.
10. Indemnification
You agree to indemnify and hold harmless ProdigyPilot, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the service, violation of these Terms, or violation of any law or rights of others. This includes reasonable attorney's fees. ProdigyPilot reserves the right to assume exclusive defense of any matter subject to indemnification.
